Usually parties do not want the other party to be able to freely assign a contract and so the general principle of law may be excluded by contract terms.  For example, a buyer may select a seller based on its unique skills and does not want an unknown or unapproved seller to be the one to perform the contract.

The standard assignment clause is intended to satisfy a customer’s desire to control assignment, while providing the Organization with one critical exception:  Project/ Product/ Services Organization is permitted to assign the contract in connection with the sale of the product line or business.  This is very important to the Organization.  The value of the business being sold may be reduced if an acquiror cannot take assignment of all of the contracts.  Buyers generally are willing to accept this exception because the third party assignee will
