going into the music business need help!?

am starting a record company with a business partner, and in all actuality he is providing most of the monetary support for our work. I on the other hand create 90% of the music we put out and am the creative force behind our projects. I am in the process of coming up with my end of our deal as business partners (i.e. % of the company, what i would want in the event we liquidate etc etc) now my question is how do i make it so that in the unfortunate event of us liquidating the company, do i keep rights to the my created work and still maintain full usuage of the music, i.e. performing selling or distribution thereof the work? and also if there are any recommendations or advice someone can lend me for my situation. my biggest concern is his advantage of having more money than myself. any advice will help.

If you were in the same boat and all of a sudden your hard earned cash was liquidated and the guy walks away with the assets of the business I do not think you would be very happy

Money is king in this economy so split everything 50 / 50
You would not be able to start the business without his support
You also need to put a value on your time was sweat equity so there s no arguments later to say we did not contribute
Put into the contract how many unpaid hours you are putting in each month to equal his cash contribution

Your input into the business must equal or be more than the money he is putting up
write down all the what ifs and have an exit strategy
put into the contract it is a difficult trading economy and that if it does sour it will not harm your business relationship

write good and bad things down that you would be unhappy with and ask him to do the same
this way everything is in the open before you start when you can still discuss things openly
