Where can I find an example of an agreement between my company and a company overseas?

I have an s-corp in california and i need to subcontract work to a company outside of us. i want an overall agreement in place and then have contracts based on projects as we go. where can i find some samples for this?

The public library has some books with CDs containing word and PDFs with example contracts.

Bear in mind though, that contracts in the US with overseas companies are probably not going to be enforcable in US courts unless that company is registered in your state as a foreign corporation.

Also you have language barriers, and need to have precise definitions of all terms in both languages as well as contract translations.
