Alright i’m doing a case study- there has been a contract made. A second contract is then conspired which contradicts the first contract in that it doesn’t follow/negates the first contracts proposal. Does that mean that the first contract is now completely useless and all guidelines are followed by the second contract? It probably is but could someone put that in a more structurally sound manner and if possible does anyone have links or examples of court cases in which this problem/outcome occured?

Yes. You are completely correct. The second contract null and voids out the first contract. However,if it is an ammendment to the first contract, then it can become an addition to the first contract.
