UCC Lien? What forms and how to file correctly?
Question by GETaLIFE: UCC Lien? What forms and how to file correctly?
For Texas: I sold a business and the contract includes the right to file a UCC lien against the equipment (computers and other such assets) until the back end payments are completed. I’m confused at which forms should be used with the Secretary of State to file the UCC lien correctly what how. There are no discernible instructions other than to say if I do it wrong they will not be valid or enforceable. Can you assist with suggestions?

You should have a bulk sale transfer conducted through an escrow agent who would get all the forms done right. This is for the protection of the buyer and seller.
